Philanthropy and the Sale of a Business: The Opportunity of a Lifetime

 For a successful business person, the potential sale of their company is a life-changing event that raises a number of difficult questions. Will I have enough to pay my bills for the rest of my life? How should I structure the deal? What legacy can I leave to my family and the charities I care about? How can I reduce my taxes on the sale?  Taking advantage of a major liquidity event requires planning. Philanthropy must be part of the conversation in advance, if possible. With proper planning, the seller may be able to achieve their charitable goals without threatening other financial objectives. This presentation will focus on a couple expecting to sell their privately owned company.

Together with their deal team, they're trying to identify the sale price and terms that will meet their most important goals. Further, they want to share some of the proceeds with their children and to pursue a program of charitable giving, but are uncertain about how much to transfer, when, and through which vehicles. The issues are complex, and it's never easy to devise a plan in the face of so many uncertainties.  In this session, attendees will learn: The key tax and legal considerations when donating private business interests to different charitable vehicles, How to weigh the tradeoffs between charitable strategies, How quantitative analysis can help answer the business owner's questions and give them the confidence to move forward.    


Christopher J. Clarkson, CFA

Mr. Clarkson is a Senior Vice President and a Director in Bernstein’s Wealth Planning and Analysis Group. He has expertise in a variety of complex investment planning issues, including charitable giving, selling a business, retirement planning, multigenerational wealth transfer, and diversification of concentrated stock and option portfolios. Mr. Clarkson is a frequent lecturer to groups of tax and legal professionals and charitable organizations throughout the western United States. He has given educational seminars for the USC Tax Institute, Colorado Society of CPAs, Estate Planning Council of San Diego, Hawaii Tax Institute, Seattle Children's Hospital Foundation, and Silicon Valley Community Foundation. Mr. Clarkson joined the firm in 1995 and has been a member of the Wealth Planning and Analysis Group since 1998. He earned a BA with high honors in business/economics from the University of California, Santa Barbara, and is a Chartered Financial Analyst charter holder.

 Andrea Kushner Ross is a Vice President and Director of the Wealth Planning and Analysis Group and is located in Bernstein’s Los Angeles office. She works with Bernstein clients and their professional advisors to develop comprehensive wealth management and wealth transfer strategies. Before joining the firm in 2015, Ross was a shareholder at Weinstock Manion, ALC, and a partner at Karlin & Peebles LLP, advising high-net-worth clients on estate, tax and charitable planning. She is a member of the State Bar of California, by which she has been certified as a specialist in both taxation law and estate planning, trust and probate law. Ross was named a Southern California Rising Star and a Super Lawyer by Super Lawyers Magazine. She currently serves on the executive committee (trusts and estates section) of the Beverly Hills Bar Association and is a member of both the taxation and trusts and estates sections of the Los Angeles County Bar Association. She has also served on the executive committee (taxation section) of the State Bar of California and was a former chair of the taxation section of the Beverly Hills Bar Association. Ross holds a BA (cum laude) in political science from the University of California at Los Angeles; a JD from the University of Southern California at Los Angeles; and an LLM in taxation law from Loyola Law School of Los Angeles.
